This presentation covers the recommended legal structure for Asian owned US subsidiaries. It discusses what Asian companies need to know about US law and doing business in the US, the recommended US structure for tax purposes for inbound companies from Asia, and how US income is taxed once operations are set up as well as other inbound issues. The highlights of transfer pricing are also addressed when the inbound continues to work with its related foreign party after they arrive in the US.

Jing has close to ten years of international tax experience working in the United States, including providing tax compliance, inbound and outbound consulting, tax reform provision and tax audit services with a focus in the international tax area. Jing advises both publicly and privately held multinational companies in broad industries, including manufacturing, construction, chemical, technology, transportation, private equity, catering, mining, oil and gas, etc.
Jing joins UHY Advisors as a senior manager in the International tax group. She started her career with PricewaterhouseCoopers international tax services since 2012. Jing graduated from the University of Alabama’s Culverhouse School of Accountancy.
Jim has considerable experience in business law, finance, and real estate. Businesses of all kinds rely on his experience, judgment, diligence, and ability to resolve the many challenges they often face.
His clients have included private and public companies in the manufacturing, finance, real estate, retail, service, technology and transportation industries. Jim’s clients have also included professional athletes, corporate CEOs and other high net worth individuals. Jim serves as counsel for a number of businesses and handles a variety of matters such as business formations, contracts, employment, lending relationships, restructurings, real estate (including leasing, and the buying, selling and development of real estate), resolving troubled business situations and buying and selling businesses. Jim has considerable experience in advising closely-held businesses. He also has experience in advising US and foreign-based companies in establishing operations in both the US and abroad. Jim also leads the firm’s US-Asia practice.
Jim is a past Chairperson of the Business Law Section of the State Bar of Michigan and also served as the Chairman of the Legislative Drafting Committee of business and tax lawyers that wrote the Michigan Limited Liability Company Act.
A Chinese National, and fluent in Mandarin, Chaoyi is qualified to practice both in the United States and in China. Her background, language ability, and specific legal acumen and knowledge enable her to provide invaluable assistance to clients operating in the realm of international business.
Her expertise involves cross-border business transactions, mergers and acquisitions, corporate governance, and joint venture transactions. She has extensive experiences in assisting inbound Chinese companies with drafting and negotiation of commercial transactions, M&A, real estate, tax and employment law, CFIUS, and export control compliance.
She also advises US companies in many areas of investment in China, including business establishment, joint venture structuring and negotiation, intellectual property protection and technology transfer, foreign exchange control, and labor law, tax and other regulatory compliance issues.
Donna has more than 20 years of transfer pricing experience serving multinational clients. In addition to leading UHY’s Transfer Pricing practice, her work experience includes Big 4 accounting firms as well as a Big 3 automotive company- Chrysler.
Donna has focused on transfer pricing compliance, planning and controversy services for MI manufacturing and automotive companies here and abroad. Donna performs Benchmarking analysis to provide an arm’s length intercompany pricing for tangibles, services and royalties for all industries.
Donna also is an active member of FEI, Program Chair for the MI Women’s Tax Association, and an active member of the MICPA International Practice Task Force and Council Member for Automation Alley International Tax Council.
Finally, Donna often is a speaker on transfer pricing topics here and abroad.
